Fiduciary Duties and Risk Checklist.

Give the board a standing list of the filings and risks it confirms are handled, so a lapse gets caught by the board before it becomes a crisis.

Compliance, confirm each is current

The annual information return (the 990 or equivalent) filed on time
State charitable and solicitation registrations current
Required audits or reviews done on schedule
Grant and contract reporting current
Insurance adequate and current, including directors and officers coverage
No known question about tax-exempt standing

Major risks, name where each stands

The fiduciary duties, a plain reminder for every member: care (pay attention and ask questions), loyalty (the organization's interest over any personal one; disclose conflicts), and obedience (keep the organization to its mission and the law).

Hard gate
If any compliance item above is not current, or you suspect a breach, self-dealing, or misuse of funds, that goes to a nonprofit attorney or accountant this week. The board watches; it does not litigate. The compliance work itself lives in the compliance and risk work.
