Get the emergency plan formally adopted by the board, so it carries real authority, and make sure the people who would have to act know their part.

Before the meeting

The full board has seen the draft plan in advance.

The backup authorities the plan relies on are confirmed and, where needed, legally valid.

The interim successor or bridging path is named.

At the meeting

The board adopts the emergency succession plan by formal action.

The board confirms the backup authorities and any resolutions the bank or bylaws require.

The adoption is recorded in the minutes, so it is the reference from this day forward.

After the meeting

The board chair and any officer who would declare the plan know their role.

The interim successor knows they are named and where the plan and handoff pack live.

A copy of the adopted plan is stored where the board can reach it in an emergency.

The plan is real when the board has adopted it by formal action, recorded it, and the people who would act know their part. Until the vote, it is a proposal, and a proposal has no authority in a crisis. If any after-the-meeting box is unchecked, the plan exists but the people who need it may not know it does.
